These terms and conditions (“Terms”) govern your access to and use of the CattleGrid website at [www.cattlegrid.uk] (the “Site”) and the CattleGrid enterprise API security gateway service (the “Service”), provided by CattleGrid Ltd, a company registered in England and Wales under company number 17020793, with registered office at 32 Salisbury Avenue, Cheltenham, England, GL51 3BS (“CattleGrid”, “we”, “our”, “us”).
By accessing or using the Site or Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Site or Service. If you are entering into these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.
CattleGrid provides an enterprise API security gateway that acts as a transparent proxy between your applications and third-party AI Provider APIs. The Service inspects outbound API requests for sensitive data, applies configurable data protection rules, and prevents sensitive information from being transmitted to AI Providers in breach of applicable regulations.
CattleGrid is an independent service. We are not affiliated with, endorsed by, or sponsored by any AI Provider. You are responsible for maintaining your own valid API keys and subscriptions with any AI Providers you access through the Service. Your use of third-party AI Provider services remains subject to those providers’ own terms of service, which you are responsible for reviewing and complying with.
We will use reasonable endeavours to make the Service available at all times. However, the Service is provided on an “as available” basis, and we do not guarantee uninterrupted, timely, or error-free operation. We reserve the right to suspend access to the Service for maintenance, updates, or other operational reasons, and will provide reasonable notice where practicable.
To use the Service, you must create an Account. You agree to provide accurate, current, and complete information during registration and to keep your Account information up to date.
You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You must notify us immediately at support@cattlegrid.uk if you become aware of any unauthorised use of your Account.
We reserve the right to suspend or terminate your Account if we reasonably believe that you have breached these Terms.
Access to the Service requires a paid Subscription. Current pricing is available on our Site. All prices are quoted in pounds sterling (GBP) and are exclusive of VAT unless otherwise stated.
Payment is due in advance for each Subscription period. We accept payment by the methods specified on our Site. Payments are processed by our third-party payment provider and are subject to their terms.
Your Subscription will renew automatically at the end of each billing period unless you cancel it before the renewal date. You may cancel your Subscription at any time through your Account dashboard. Cancellation takes effect at the end of the current billing period; no refunds are given for partial periods.
We may change our pricing from time to time. We will give you at least 30 days’ written notice of any price increase. If you do not agree to the new pricing, you may cancel your Subscription before the new pricing takes effect.
You agree to use the Site and Service only for lawful purposes and in accordance with these Terms. You must not:
Our processing of personal data is governed by our Privacy Policy, which forms part of these Terms. Where the Service involves the processing of personal data on your behalf, we act as a data processor and you act as the data controller. In such cases, the terms of our Data Processing Agreement (available on request) shall apply.
CattleGrid processes all data ephemerally in memory only. Customer data is never written to persistent storage. We record only metadata about security events (such as the type and number of sensitive items detected) and never log the sensitive data itself.
All intellectual property rights in the Site and Service, including software, documentation, designs, and trademarks, are owned by or licenced to CattleGrid. Nothing in these Terms grants you any rights to our intellectual property except the limited right to use the Service in accordance with these Terms.
You retain ownership of all data you submit to the Service. You grant us a limited, non-exclusive licence to process your data solely for the purpose of providing the Service to you.
Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
Subject to clause 9.1, our total aggregate liability to you under or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total fees paid by you in the 12 months immediately preceding the event giving rise to the claim.
Subject to clause 9.1, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, whether or not we have been advised of the possibility of such damages.
Whilst we endeavour to provide effective data protection through our intelligent detection systems, we do not guarantee that the Service will detect all sensitive data in all circumstances. The Service is provided as a supplementary layer of protection and should not be relied upon as the sole means of data loss prevention. You remain responsible for implementing appropriate data protection measures within your organisation.
You agree to indemnify and hold harmless CattleGrid, its directors, officers, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your breach of these Terms, or your violation of any applicable law or regulation.
We may suspend or terminate your access to the Service immediately if you breach these Terms, if required by law, or if we discontinue the Service (with reasonable notice). Upon termination, your right to use the Service ceases immediately. Clauses that by their nature should survive termination shall continue in force, including clauses on limitation of liability, indemnification, and governing law.
We may update these Terms from time to time. We will notify you of any material changes by email or by posting a notice on our Site at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your Subscription.
These Terms, together with our Privacy Policy and any Data Processing Agreement, constitute the entire agreement between you and CattleGrid in relation to the Site and Service.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.
A failure or delay by us in exercising any right or remedy under these Terms shall not constitute a waiver of that right or remedy.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to any successor in title to our business.
These Terms do not confer any rights on any person or party other than you and CattleGrid pursuant to the Contracts (Rights of Third Parties) Act 1999.
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
